Acceptance of Terms

By accessing and using Gatespark Learning Hub ("the Platform", "we", "our", "us"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Platform.

These terms apply to all visitors, registered users, enrolled students, instructors, and any other individuals who access or use any part of the Platform. We reserve the right to update these terms at any time. Your continued use of the Platform following any changes constitutes acceptance of those changes.

User Accounts

Registration

To access most features of the Platform, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your password
• Accept responsibility for all activities that occur under your account
• Notify us immediately at support@gatesparkhub.com if you become aware of any unauthorised use of your account

Account Eligibility

You must be at least 13 years of age to create an account. If you are under 18, you must have parental or guardian consent. By creating an account, you represent that you meet these age requirements.

One Account Per Person

Each person may only maintain one active account on the Platform. Creating multiple accounts — for example, to circumvent access restrictions or course limitations — is a violation of these terms.

Acceptable Use

You agree to use the Platform only for lawful purposes and in a way that does not infringe the rights of others or restrict or inhibit anyone else's use and enjoyment of the Platform. You agree not to:

• Use the Platform for any illegal purpose or in violation of any local, national, or international law or regulation
• Share, transfer, or sell your account credentials to any other person
• Copy, distribute, reproduce, publish, or share course content (videos, materials, assessments) without our explicit written permission
• Attempt to gain unauthorised access to any part of the Platform, its servers, or any connected systems
• Interfere with, disrupt, or create an undue burden on the Platform's infrastructure or the servers and networks connected to the Platform
• Use automated means (bots, scrapers, crawlers) to access, query, or collect data from the Platform without prior written permission
• Post, transmit, or share content that is harmful, abusive, threatening, defamatory, obscene, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Upload or transmit viruses, malware, or any other code designed to disrupt, damage, or limit the functioning of any software, hardware, or equipment
• Attempt to reverse-engineer, decompile, or disassemble any software or algorithms used by the Platform
• Use the Platform to harvest or collect email addresses or other personal information of other users
• Misrepresent completion of courses or assessments; submitting work that is not your own

We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing offending content and terminating accounts.

Courses & Content Access

Enrolment

Upon successful enrolment (and payment, where applicable) in a course, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the course content for your personal, non-commercial, educational purposes.

Course Availability

While we aim to provide continuous access to enrolled courses, we do not guarantee that any specific course will remain available indefinitely. We reserve the right to update, modify, or retire course content. Where a paid course is significantly altered or removed, we will use reasonable efforts to provide notice and a suitable alternative or refund.

Accuracy of Course Content

Course content is provided for educational purposes only. While we work with qualified instructors to ensure quality, we do not warrant that course content is complete, accurate, up-to-date, or suitable for any particular purpose. It is your responsibility to verify the applicability of course content to your specific situation or professional context.

Community and Forums

If the Platform provides community features such as discussion forums or Q&A sections, you agree to use them respectfully and constructively. We reserve the right to remove content that violates our acceptable use guidelines or these terms.

Payments & Refunds

Pricing

Course prices are displayed on the Platform and may be subject to applicable taxes. We reserve the right to change prices at any time. Any price change will not affect courses you have already purchased.

Payment Processing

All payments are processed by our third-party payment provider. By making a purchase, you agree to their terms and conditions. We do not store your full payment card details on our servers.

Refund Policy

If you are not satisfied with a paid course, you may request a refund within 30 days of purchase, provided that:

• You have completed no more than 20% of the course content; and
• You have not downloaded any certificates or received a badge for the course.

Refund requests should be submitted to billing@gatesparkhub.com. We process approved refunds within 5–10 business days. Refunds are not available for courses purchased under promotional pricing unless otherwise stated.

Certificates & Badges

Upon successful completion of eligible courses, you may receive a certificate of completion and/or digital badge. These are awarded based on your own genuine completion of the required coursework and assessments.

• Certificates and badges are for informational purposes only and do not constitute professional accreditation unless explicitly stated.
• Misrepresenting your certificates or badges — for example, claiming a professional qualification that has not been granted — is a violation of these terms.
• We reserve the right to revoke certificates and badges if we determine they were obtained through dishonest means.

Instructor Terms

If you apply and are accepted as an instructor on the Platform, the following additional terms apply:

• You warrant that all course content you submit is original, does not infringe any third-party rights, and complies with these terms and our Instructor Guidelines.
• By submitting course content, you grant Gatespark Learning Hub a non-exclusive, worldwide, royalty-free licence to host, display, and distribute your content on the Platform.
• You retain ownership of your original course materials, subject to the licence granted above.
• Revenue sharing terms, if applicable, are set out in a separate Instructor Agreement.
• We reserve the right to remove instructor content that violates our content standards or these terms, and to terminate instructor relationships that involve repeated violations.

Intellectual Property

All platform features, branding, design, software, and non-instructor content are owned by or licensed to Gatespark Learning Hub and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, or exploit any part of the Platform without our express written permission.

The Gatespark Learning Hub name, logo, and associated marks are trademarks of Gatespark Learning Hub. Nothing in these terms grants you any right to use our trademarks without prior written permission.

If you believe that any content on the Platform infringes your copyright, please contact us at legal@gatesparkhub.com with a detailed description of the alleged infringement.

Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. By using the Platform, you consent to our collection and use of personal information as described in our Privacy Policy.

Disclaimers

The Platform and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Gatespark Learning Hub does not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free;
• The results obtained from using the Platform will be accurate or reliable;
• Any errors on the Platform will be corrected.

Course content is for educational and informational purposes only and does not constitute professional advice. You should seek appropriate professional advice before acting on any information obtained through the Platform.

Limitation of Liability

To the fullest extent permitted by applicable law, Gatespark Learning Hub, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Platform;
• Any conduct or content of any third party on the Platform;
• Any content obtained from the Platform; or
• Unauthorised access, use, or alteration of your transmissions or content.

In no event shall our total liability to you for all claims relating to the Platform exceed the amount you have paid to us in the 12 months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Gatespark Learning Hub and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Platform; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including any copyright, property, or privacy right; or (d) any claim that your user-submitted content caused damage to a third party.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the Platform will immediately cease.

You may terminate your account at any time by contacting us at support@gatesparkhub.com. Note that termination does not entitle you to a refund of any fees paid, unless you qualify under our Refund Policy.

Provisions of these terms that by their nature should survive termination — including intellectual property provisions, disclaimers, indemnification, and limitations of liability — shall survive termination.

Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of Uganda. Subject to any mandatory dispute-resolution rights under Ugandan law, disputes shall be submitted to the competent courts of Uganda.

If any provision of these terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Changes to These Terms

We reserve the right to modify these terms at any time. We will notify you of significant changes by posting a notice on the Platform and/or by sending an email to the address associated with your account. Changes take effect 30 days after notification, unless you continue to use the Platform before that time, in which case the new terms take effect immediately for you.
